1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client", "You") and D BIZ CONSULTANCY PRIVATE LIMITED ("Company", "D BIZ", "we", "us", or "our"), operating via our physical corporate desks in Thiruvananthapuram and Kochi, Kerala, and digitally through dbizsolutions.in.

By accessing our website, engaging our corporate advisory services, submitting application documents, or paying retainers/fees, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of Services & Professional Role

D BIZ CONSULTANCY provides strategic business structuring, statutory registrations, accounting, taxation, intellectual property support, and corporate advisory. Services are executed through qualified internal consultants alongside independent empanelled professionals, including Chartered Accountants (CAs), Company Secretaries (CS), and Advocates.

3. Client Obligations & Document Authenticity

The accuracy and validity of any corporate filing depend directly upon the materials provided by the Client. The Client explicitly warrants that:

• All KYC credentials (PAN cards, Aadhaar, passports, bank statements, utility bills) are genuine, unaltered, and legally valid.
• No submission violates the Emblems and Names Act, Trademark rights of third parties, or anti-money laundering provisions (PMLA).
• The Client will furnish requested signatures, digital signature tokens (DSC), OTP authorizations, and bank proofs within specified deadlines to prevent filing expiration.

4. Government Levies, Stamp Duties & Portal Fees

Quotations and statutory estimates provided by D BIZ comprise two distinct components:

1. Professional Advisory Fees: Charged by D BIZ for consultation, legal drafting, verification, compliance audit, and portal handling.
2. Statutory Government Levies: Mandatory fees paid directly to government portals (MCA SPICe+, ROC, Stamp Duty Authorities, GSTN, Trade Marks Registry, Udyam).

Government levies and state stamp duties are subject to change by central/state notifications. Any unforeseen revision in statutory tariffs or penalties arising from prior non-compliance by the Client will be chargeable at actuals.

5. Filing Timelines & Government Processing

D BIZ commits to preparing, reviewing, and submitting statutory applications within the communicated internal service benchmarks (typically 24 to 48 hours following receipt of complete client documentation). However:

• Processing times at government registries (such as the Central Registration Centre - CRC, ROC Ernakulam, or the Trade Marks Registry) are entirely subject to administrative backlogs, officer scrutiny, and technical portal maintenance.
• Delays caused by MCA/GSTN server downtime, clarification resubmission requests (SCRUTINY / RESUBMISSION), or third-party bank verification are beyond our direct operational control.

6. Confidentiality & Data Security

We treat all financial records, shareholding patterns, contracts, and proprietary ideas with utmost confidentiality under non-disclosure standards. Client documents are strictly utilized for preparing statutory returns, incorporation filings, or audit work, and are never monetized or shared with unauthorized commercial entities.

7. Refund & Cancellation Policy

• Government Fees: Statutory fees once disbursed to government portals (MCA, Stamp Office, Trademark Registry) are strictly non-refundable under government treasury rules.
• Professional Retainers: If a cancellation request is received prior to document drafting or portal submission, a refund may be issued after deducting administrative and consultation costs. Once drafting and name reservation filings have commenced, professional fees are earned and non-refundable.

8. Governing Law & Jurisdiction

These Terms shall be governed by, and construed in accordance with, the laws of the Republic of India. In the event of any legal dispute, claim, or difference arising out of or in connection with these services, the courts and tribunals located in Thiruvananthapuram, Kerala, India shall possess exclusive jurisdiction.
