The timeline for uploading the statutory Tax Audit Report (Form 3CA-3CD for corporate entities and Form 3CB-3CD for non-corporate businesses) has been officially extended to 21 October 2026.

To ensure that businesses have adequate time to compute final taxable liabilities, claim allowable deductions, adjust TDS credits, and obtain board approvals following the audit, the CBDT has also granted a matching extension for filing the corresponding Income Tax Returns (ITR) until 21 November 2026.


What Was the Earlier Rule / Deadline?

Under Section 44AB read with Section 139(1) of the Income-tax Act, 1961:

  • The standard statutory due date for uploading the Tax Audit Report on the e-filing portal was 30 September of the assessment year (i.e., 30 September 2026 for AY 2026-27).
  • The statutory due date for filing the Income Tax Return for taxpayers required to get their accounts audited was 31 October of the assessment year (i.e., 31 October 2026).

Taxpayers and professional bodies across India had represented to the Ministry of Finance regarding technical portal adjustments, verification bottlenecks, and festive scheduling, seeking an extension to avoid severe penalty provisions.


What Is the New Rule / Deadline?

Following the CBDT order:

  1. Tax Audit Report Submission (Form 3CA/3CB-3CD): Must be uploaded by the Chartered Accountant and accepted by the taxpayer on or before 21 October 2026.
  2. Income Tax Return (ITR-3 / ITR-5 / ITR-6 / ITR-7): Must be verified and filed on or before 21 November 2026.
  3. Transfer Pricing Reports (Form 3CEB): International and specified domestic transaction reporting timelines should be evaluated according to their distinct statutory calendar.

Who Does This Update Apply To?

This relaxation applies specifically to audit cases under the Income Tax Act, including:

  • Private Limited Companies and Public Limited Companies incorporated under the Companies Act, 2013.
  • Limited Liability Partnerships (LLPs) and Partnership Firms whose annual turnover exceeds statutory thresholds or who are subject to audit.
  • Sole Proprietorships and HUFs carrying on business with annual turnover exceeding ₹1 Crore (or ₹10 Crores where cash receipts and payments do not exceed 5% of aggregate turnover).
  • Professionals whose gross receipts exceed ₹50 Lakhs (or ₹75 Lakhs under presumptive provisions where cash is below 5%).
  • Taxpayers declaring profits lower than presumptive limits under Section 44AD, 44ADA, or 44AE with income exceeding the basic exemption limit.

*Note: Non-audit individual taxpayers whose due date was 31 July 2026 are not covered by this circular.*

An audit report and an Income Tax Return are two completely different legal requirements.

  • Completing the tax audit by 21 October 2026 does not mean that your Income Tax Return has been filed.

  • Under New Relief:
  • Their statutory auditor can thoroughly complete the 3CD audit disclosures by 18 October 2026.
  • The Managing Director accepts the audit report on the income tax portal on 20 October 2026 (before the 21 October deadline).

What Happens If You Miss the New Deadline / Requirement?

Missing the revised 21 October and 21 November deadlines attracts severe consequences:

  1. Tax Audit Failure Penalty (Section 271B): Failure to submit the audit report attracts a penalty of 0.5% of total sales/turnover, or ₹1,50,000, whichever is lower.
  2. Interest Under Section 234A: Mandatory penal interest of 1% per month on outstanding self-assessment tax liability calculated from the original due date.
  3. Forfeiture of Business Loss Carry-Forward (Section 80): Unabsorbed business losses and speculative losses cannot be carried forward to subsequent years if the ITR is filed after 21 November 2026.
  4. Late Filing Fee (Section 234F): Up to ₹5,000 fee for belated return submission.
